General terms of service contracting
1. Scope of Application
These Terms and Conditions govern the commercial relationship between Yiwu Finewell Sunglasses Co., Ltd. (hereinafter, 'Scouters') and professional clients (B2B) who contract our eyewear distribution services. By placing an order, the client fully accepts these conditions.
2. Services Offered
Scouters acts as a distributor of eyewear manufactured in China, offering the following services:
- Distribution of sunglasses, blue light, and sports glasses
- Product customization with client logo
- Production management and quality control
- International logistics and shipping
3. Ordering Process
Initial inquiry
The client contacts us to request information and quote.
Quote
Scouters sends a detailed quote within 24 hours.
Confirmation
The client confirms the order in writing (email).
Initial payment
Payment of 30% of the order to start production.
Production
Manufacturing according to agreed specifications.
Final payment
Payment of the remaining 70% before shipping.
4. Minimum Order Quantities (MOQ)
Minimum quantities vary according to availability:

5. Pricing and Payments
Economic conditions:
- Prices are quoted in euros (EUR) and do not include VAT or customs duties.
- Prices are indicative and may vary depending on model, quantity, and customization.
- Payment terms: 30% upon order confirmation, 70% before shipping.
- Accepted payment methods: International bank transfer.
- Shipping prices vary by destination and modality (DDP, DAP, FOB).
6. Delivery Times
Estimated timeframes are:

Times are estimates and may vary according to season, production volume, or logistical circumstances. Scouters will communicate any significant delay.
7. Quality and Warranty
Scouters guarantees:
- Quality control at factory before shipping (6 inspection points).
- Products comply with applicable CE and ISO regulations.
- Warranty for manufacturing defects for 30 days from delivery.
- The warranty does not cover damage from improper use, incorrect storage, or subsequent handling.
8. Claims and Returns
Procedure for incidents:
- Claims must be notified by email to contact@scouters.pro within 7 days of receipt.
- Graphic documentation (photos/videos) of the defect must be attached.
- Scouters will evaluate each case and offer a solution: replacement, discount, or refund as appropriate.
- Returns of customized products are not accepted except for manufacturing defects.
9. Intellectual Property
The client guarantees that they have the rights to the brands, logos, and designs they request to customize. Scouters is not responsible for the use of materials protected by third-party rights. The client will indemnify Scouters for any claim arising from the use of materials without the corresponding rights.
10. Confidentiality
Both parties commit to maintaining the confidentiality of commercial, technical, and business information exchanged during the relationship. This obligation remains in force even after the end of the commercial relationship.
11. Termination
Either party may terminate the commercial relationship by written notice. Orders in progress will be completed according to agreed conditions. Scouters reserves the right to cancel orders in case of payment default or other breach of obligations by the client.
12. Law and Jurisdiction
These Terms and Conditions are governed by Spanish law. For any dispute, the parties submit to the Courts of Barcelona, Spain.
